Authorized Wholesale Distributor Master Agreement

1. Territory Demarcation & Exclusivity
Upon formal KYC approval and allocation of a unique Distributor ID, the Distributor is granted commercial non-transferable rights to market, distribute, and sell SHREE COCONUT coconut products within their approved primary district in Gujarat. Cross-territory dumping or undercutting outside designated bounds constitutes breach of agreement.
2. Commercial Price Lists & Payment Terms
Prices charged to the Distributor shall conform to the active Volume Slab Matrix assigned to the distributor's tier. The Distributor covenants to settle all invoices within the approved credit period (3 to 5 Banking Days). Overdue accounts beyond credit days incur an automatic hold on fresh dispatches.
3. Minimum Monthly Turnover Quota
To maintain territorial protection, the Distributor agrees to maintain the agreed baseline monthly bag volume. If turnover falls below 60% of quota for two consecutive calendar quarters, Pingax InMotion LLP reserves the right to appoint secondary co-distributors.
4. Dispute Arbitration & Commercial Jurisdiction
Any disputes arising under this agreement shall be referred to arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996, with legal jurisdiction exclusively situated at Bhavnagar / Ahmedabad, Gujarat.
